the golf course at The Stone Canyon Club? |

World-renowned
golf course architect, Jay Morrish, designed the golf course. Jay has designed many award
winning courses including Arizona notables such as Troon Golf and Country Club, Troon
North, The Rim Club, TPC Scottsdale, and Forest Highlands. Other celebrated Morrish
courses include Loch Lomond Golf Club in Scotland, Double Eagle in Galena, Ohio and Shadow
Glen in Olathe, Kansas. |

How many golf
holes will The Stone Canyon Club feature? What kind of course is Stone Canyon? |

The Stone Canyon
Club currently features 18-holes of Championship golf, with five sets of tees on each hole
measuring from 5,400 to over 7,000 yards from the tips. The course truly is a high desert
golf experience, featuring lush vegetation, dramatic elevation changes. |

What type of
practice facilities are available at The Stone Canyon Club? |

The Stone Canyon
Club features some of the finest private practice facilities available. The centerpiece of
the complex is a 107-yard par three "19th-hole," in addition to 60,000 square
feet of ball striking area, with practice tees featured on both the north and south ends.
A fairway practice bunker and two short game practice complexes with varied mowing heights
and challenging greenside bunkers provide additional opportunities for members to work on
a wide variety of shots.

Is the course
open year-round? |

Yes. The course
is open 12-months a year with the exception of closures scheduled to allow for over
seeding each fall. The course initially opened for play to members in February 2000. |

is the best time of year to play the Stone Canyon Club? |

The
traditional season in Arizona is generally considered to be October - May. However, with
the slightly cooler temperatures Tucson enjoys (as compared to other desert locations)
members do enjoy playing golf all year long.

I play if I am not a member of the Club? |

You
may play golf at Stone Canyon as member of the Club or as an accompanied guest of a
member.

I required to submit plans for community approval before building a home within Stone
Canyon? |

There
are Design Guidelines and a design review process in place at Stone Canyon. Prior to
constructing a custom home within the Stone Canyon community, future residents participate
in a carefully crafted design review process, which allows for review and approval of all
custom home designs and plans.
The general purpose of the Design Guidelines and the related review process is to protect
the architectural integrity and quality of the Stone Canyon community as a whole. These
guidelines provide standards for architectural design, site planning and landscape
architecture, while still providing the Owner with the greatest flexibility in personal
expression. The end result of the process is intended to create harmony between those
elements of the built environment with the inherent quality and beauty of the natural
desert environment.

type of landscape may I have on my property? |

Existing natural
features such as stands of saguaros, unique vegetative groupings, rock outcroppings and
washes will be preserved wherever possible. All landscaping must reflect the Southwest
character of the development. |

Club and the membership opportunities available. As these questions and answers are only
summary in nature, you should carefully review the Membership Plan and the Rules and
Regulations prior to becoming a member in The Stone Canyon Club. |

What are the
membership opportunities at the Club? |
| A: |
The Club is
presently offering a limited number of memberships in the following categories: Golf
Membership and Sports Membership. Each membership provides specific privileges, and are
thoroughly described in the Membership Plan.

What
recreational and social amenities will be available at the Club? |
| A: |
The Club
currently features an 18-hole championship course and outstanding practice facilities
designed by noted golf course architect, Jay Morrish. Other planned amenities include
world-class tennis, fitness, swimming, men's and women's locker facilities as well as a
finely appointed golf shop and dining. The permanent clubhouse, which will be no less than
25,000 square feet, is expected to commence construction once the number of golf
memberships in the Club has reached at least 175. A temporary clubhouse will serve the
members until the permanent clubhouse has been completed.

Club Facilities? |

Stone Canyon,
L.L.C., an Arizona limited liability company, owns and operates the Club Facilities.

What are the
privileges of a Golf Membership? |
| A: |
Golf Members are
entitled to use all of the golf, tennis, swimming, health and fitness and social
facilities of the Club. Golf Members will not be required to pay greens fees or court fees
for use of the golf or tennis facilities, but will be required to pay monthly dues
associated with Golf Membership and annual or daily cart fees.

What are the
privileges of a Sports Membership? |

Sports Members
are entitled to use all of the tennis, swimming, health and fitness and social facilities
of the Club. Sports Members will not be required to pay court fees for use of the tennis
facilities, but will be required to pay monthly dues associated with the Sports
Membership. |

What are the
special features of membership in the Stone Canyon Club? |
| A: |
Membership
in the Stone Canyon Club offers a number of special features such as:
Refundable Membership
Deposit. The entire membership deposit paid for Golf or Sports membership is refundable
upon resignation and reissuance of the membership or upon death of a member, as provided
for in the Membership Plan.
Transferability of Memberships.
Memberships are transferable through the Club to the subsequent purchaser of a member's
residence or homesite. Upon approval by the club
Resigned Memberships
Reissued Prior to Membership Sell-Out. Resigned members do not have to wait until all new
memberships in the Club have been issued before their membership is reissued, as provided
for in the Membership Plan.
- No Assessments. Members are not subject to
either operating or capital assessments in the non-equity club. The Company will be
responsible for all deficits incurred in the operation of the Club and its facilities and
for the cost of all capital improvements
- Extended Family Privileges. A member's extended
family members can enjoy the Club Facilities by paying preferred fees as provided in the
Membership Plan.

What will I
be required to pay in order to become a member of the Club? |

You are required
to pay a fully refundable membership deposit in the amount established by the Club at the
time you apply for membership. It is expected the membership deposit required to become a
member will increase over time as memberships are issued. |

When will the
membership deposit be repaid to the member? |
| A: |
Each person who
acquires a Golf or a Sports membership will be entitled to receive a refund of the
membership deposit paid for the membership without interest, 30 years from the date of the
member's admission to the Club. In the event that the member resigns from the Club before
the end of the 30-year period, the member will be entitled to receive the membership
deposit paid for the membership within 30 days after the reissuance of the member's
membership by the Club to a new member.

May I invite
guests to the Club? |

Having your
friends enjoy the Club's fine facilities with you is an important attribute of membership
in the Club. Therefore, members are encouraged to invite guests to the Club subject to the
reasonable rules and regulations adopted by the Club to preserve the exclusivity of its
facilities.

Will my
family members be welcome at the Club? |

Each membership
in the Club provides full privileges for spouses and unmarried children under the age of
23, who either live at home, attend school on a full-time basis or are in the military.
The Club intends to provide programs that are appealing to family members of all ages.

Who is
eligible to acquire a membership in the Club? |
| A: |
Golf and Sports
Memberships in the Club will be offered to initial purchasers of homesites in the Stone
Canyon community, and to such other persons as the Club determines. Each initial purchaser
of a homesite in Stone Canyon may, based on availability of the membership category
desired, acquire a membership in the Club no later than the closing date of his or her
homesite or residence. The number of memberships is limited and the ability to acquire a
membership is subject to one being available. |

I understand
the membership program at The Stone Canyon Club is a Convertible Equity membership
program. What does that mean? |
| A: |
The Company has
reserved the right the convert the Club to an equity member-owned club in the future, at
the Company's sole discretion. In an equity member-owned club, the members ultimately vote
on matters affecting the club and manage and control the operation of the Club and its
facilities. The Company will retain control of the equity club until all of the equity
memberships have been sold. Control may be relinquished sooner in the discretion of the
Company.

has converted to an equity member-owned club, what will my rights be as an existing
member? |

If the Company
determines to convert the Club to a member-owned facility, all members will be given an
opportunity to acquire an equity membership in the corresponding equity category. |
